Terms of Service

1. Acceptance of Terms
By accessing or using the services of MailOps Studio ("we", "us", or "our"), you ("Customer") agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These Terms of Service, together with our Privacy Policy and any Data Processing Agreement, constitute the entire agreement between you and MailOps Studio.
2. Description of Service
MailOps Studio provides an automated data extraction service for logistics documents. Customers forward documents (Commercial Invoices, Bills of Lading, Air Waybills) to a dedicated email address, and our system processes them and returns a structured Excel file with the extracted data.
3. Eligibility
Our services are intended for business customers only. By using our service, you confirm that you are acting in a professional or business capacity and not as a consumer.
4. Customer Responsibilities
You are responsible for:
- The accuracy, completeness, and legality of the documents you forward to us.
- Setting up and maintaining the automatic email forwarding rule to our service address.
- Keeping your account information accurate and up to date.
- Ensuring that you have the right to share the documents and any personal data they contain with us.
- Signing a Data Processing Agreement with us before forwarding any documents containing personal data.
5. Service Availability
We will use commercially reasonable efforts to make our service available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability. The service may be temporarily unavailable due to scheduled maintenance, unforeseeable technical failures, or events outside our reasonable control. We will notify you by email as soon as possible in the event of a significant service disruption.
6. Fees and Payment
Pricing: Our current pricing is as presented to you at the time of sign-up or as agreed in writing.
Invoicing: We will issue invoices monthly in arrears for the services provided in the preceding month.
Payment terms: Invoices are due within 14 days of the invoice date.
Late payment: If payment is not received within 14 days, we reserve the right to charge statutory commercial interest (wettelijke handelsrente) in accordance with Article 6:119a of the Dutch Civil Code, calculated from the due date until the date of payment.
Suspension: If payment is overdue by more than 30 days, we reserve the right to suspend your access to the service until the outstanding amount is paid.
7. Intellectual Property
We retain all rights, title, and interest in and to our service, software, algorithms, and related intellectual property. You retain all rights, title, and interest in and to the documents you forward to us and the extracted data you receive back. We do not use your documents or extracted data to train AI models.
8. Confidentiality
Both parties agree to keep confidential any information received from the other party that is marked as confidential or that would reasonably be understood to be confidential. This obligation survives termination of the agreement.
9. Limitation of Liability
To the maximum extent permitted by Dutch law, our total liability to you for any claims arising from or related to these Terms of Service shall not exceed the total fees paid by you to us in the three months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
Nothing in these Terms of Service limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Dutch law.
10. Termination
By you: You may terminate your use of our service at any time by giving us 30 days' written notice by email to [email protected].
By us: We may terminate or suspend your access to our service immediately if you breach these Terms of Service, fail to make payment, or if we are required to do so by law.
Effect of termination: Upon termination, your access to the service will cease. Any outstanding invoices remain due and payable. We will delete your document data in accordance with our data retention policy.
11. Force Majeure
Neither party shall be liable for any failure or delay in performance of its obligations under these Terms of Service to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, power failures, internet outages, or failures of third-party service providers.
12. Governing Law and Disputes
These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or related to these Terms of Service shall be submitted to the exclusive jurisdiction of the competent court in Rotterdam, the Netherlands.
13. Changes to These Terms
We may modify these Terms of Service from time to time. We will provide you with at least 30 days' notice of any material changes by email. Your continued use of our service after the effective date of the changes constitutes your acceptance of the new terms.
